Terms of Service
Effective date: September 22, 2026
1. Agreement and Eligibility
These Terms of Service (the “Terms”) govern your use of sapamix.com and SapaMix’s consultation, quoting, audio-mixing, mastering, editing, and related services described in a written quote (collectively, the “Services”). SapaMix is a sole proprietorship operated in Tennessee, United States (“SapaMix,” “we,” “us,” or “our”).
By submitting a consultation or contact form, sending files, accepting a quote, making a payment, or using the Services, you agree to these Terms and our Privacy Policy. If you are not legally able to enter into a binding agreement, a parent or legal guardian must review and approve your use of the Services and any purchase.
2. Consultations, File Review, and Quotes
A consultation is a request for us to review your project; it is not a purchase or a guarantee that we will accept the project. After reviewing your consultation, we may contact you by email or text message and ask you to send audio files, reference songs, or other information through a separate file-transfer method. We may examine those materials to understand the condition, scope, and needs of the project before preparing a quote.
Mixing prices start at $90, but every project is priced individually. Your quote or other written project agreement will state the services, price, payment schedule, estimated turnaround, delivery method, and any included revisions. A quote may expire or be revised if the project details, files, or requested services change. You may accept or decline the quote, and we may decline a project before work begins.
3. Starting a Project and Payment
A project begins only after you accept the written quote, provide all requested materials, and make any required initial payment. Reviewing files to prepare a quote does not mean paid production work has started.
Payments are processed using the invoice, payment link, or other method identified in the quote. The payment provider—not SapaMix—collects complete payment-card details. The quote will state whether payment is due in full or in stages. We may correct an obvious pricing or calculation error before work begins and will give you the choice to accept the corrected quote or cancel.
4. Customer Files and Responsibilities
You must provide complete, accessible, correctly exported, and accurately labeled files, along with clear instructions and working contact information. You must keep your own backup copies of everything you send and receive; SapaMix is not a permanent storage or backup service. Missing, corrupted, unsafe, inaccessible, or replacement files may delay the project or require a revised quote.
You represent that you own or have permission to use and submit all recordings, beats, samples, lyrics, artwork, reference materials, and other content you provide (“Customer Content”). You may not submit unlawful, infringing, fraudulent, malicious, or harmful material. We may reject, pause, or end a project that creates a legal, security, or safety risk.
5. Ownership and Permission to Work
You retain ownership of your Customer Content. You grant SapaMix and its authorized engineers, contractors, and service providers a limited, nonexclusive license to receive, store, copy, transmit, edit, process, and otherwise use Customer Content only as reasonably necessary to evaluate the project, provide the Services, communicate with you, protect the Services, and comply with law.
SapaMix will not publicly use your private recordings or finished work for advertising, portfolios, or promotional examples without separate permission. After all amounts due for the project are paid, you may use the delivered mix or other deliverables for any lawful purpose for which you hold the necessary rights in the underlying content.
6. Production, Turnaround, and Delivery
Unless we expressly agree in writing to a guaranteed deadline, turnaround dates are estimates. Timing begins after the required payment and all complete, usable files and instructions have been received. Missing files, changed instructions, replacement recordings, delayed responses, revision requests, third-party outages, emergencies, or events outside our reasonable control may extend the estimate.
Completed work may be delivered by email, download link, file-transfer service, cloud storage, or another agreed method. You are responsible for downloading and backing up deliverables promptly.
7. Creative Decisions and Revisions
Audio work involves creative and technical judgment. We will use reasonable professional efforts to follow your goals, notes, and reference songs, but we do not promise an exact copy of another recording or guarantee any particular artistic result, commercial performance, streaming result, audience response, or playback-system compatibility.
The quote or project communications will state any included revisions and the price of additional work. A major change in direction, new or replacement files, or work outside the accepted scope may require an additional charge or revised quote.
8. Cancellations and Refunds
Before production begins, cancellation and refund eligibility will follow the written quote and payment terms for the project. Once production has begun, payments are generally nonrefundable because time has been reserved and work has been performed. This does not limit refunds required by law or appropriate refunds for duplicate or incorrect charges or SapaMix’s inability to provide a paid service.
Please contact SapaMix promptly about a billing or service problem so we can investigate. Refund timing may depend on the payment provider and your financial institution.
9. Engineers and Third-Party Services
SapaMix may use independent audio engineers and other contractors to review or complete projects. They may receive the Customer Content and project information reasonably necessary for their assigned work and are expected to use it only for that purpose.
The Services also depend on third parties for website hosting, database services, email, analytics, advertising measurement, payments, communications, and file transfer or storage. Their availability may affect the Services. We are not responsible for a failure caused solely by a third-party system outside our reasonable control, but we will use reasonable efforts to offer another practical method when available.
10. Website and SapaMix Materials
The SapaMix name, branding, website design, text, software, and other materials supplied by SapaMix are owned by or licensed to SapaMix. You may not copy, exploit, interfere with, attack, bypass, reverse engineer, or misuse the website or its security features, except as permitted by law.
11. Disclaimers and Limitation of Liability
To the fullest extent permitted by law, the website and Services are provided “as is” and “as available,” and SapaMix disclaims warranties not expressly stated in a written quote or these Terms.
To the fullest extent permitted by law, SapaMix will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits, opportunities, data, or goodwill; or business interruption. SapaMix’s total liability arising from a project will not exceed the amount you paid SapaMix for the project giving rise to the claim. These limitations do not apply where applicable law does not allow them.
12. Responsibility for Claims
You are responsible for losses, claims, or reasonable costs arising from Customer Content you submitted without the necessary rights or permissions, your unlawful use of the Services or deliverables, or your material violation of these Terms, except to the extent caused by SapaMix’s own unlawful conduct.
13. Governing Law and Disputes
These Terms are governed by Tennessee law, without regard to conflict-of-law rules. Before filing a formal claim, you and SapaMix agree to make a good-faith effort to resolve the issue by giving the other party written notice and 30 days to respond. Unless applicable consumer law requires otherwise, court proceedings must be brought in a court with jurisdiction over the Tennessee county where SapaMix’s principal place of business is located.
14. Changes and General Terms
We may update these Terms to reflect changes to the Services, our practices, or the law. Updated Terms will be posted with a new effective date and will apply prospectively. If a provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. These Terms, the Privacy Policy, and the accepted written quote or project agreement form the agreement for the Services; the specific project terms control if they conflict with these general Terms.
15. Contact
Questions about these Terms may be submitted through the SapaMix contact page or sent to support@sapamix.com.
